Kinjay Terms of Service

Kinjay account features are intended only for people aged 18 or older in the United States. By creating an account, you represent that you are at least 18 and have legal capacity to agree to these Terms. Kinjay does not offer accounts to children.

Kinjay stores, organizes, displays, and shares health records supplied by users. It can transcribe information from an uploaded report for a person to review and confirm.

Kinjay is not a healthcare provider, medical practice, health plan, emergency service, or substitute for a qualified healthcare professional. It does not diagnose, determine urgency, predict disease, recommend treatment or medication doses, or independently decide whether information is clinically normal, safe, improving, or worsening.

Do not use Kinjay as the sole source of information in an emergency or to make medical decisions. Contact emergency services or an appropriate healthcare professional when medical attention may be needed.

You must provide accurate account information, protect your credentials and devices, and promptly notify us if you believe your account has been accessed without authorization. You are responsible for activity through your account to the extent permitted by law.

You agree that Happlace may provide notices, disclosures, policies, and other communications electronically, including within the Service or by email to the address on your account, and that these satisfy any legal requirement that they be in writing. You agree that your electronic acceptance of these Terms, acknowledgement of our Privacy Policies, and consent choices recorded in the Service have the same effect as a handwritten signature. You may request a paper copy of any such document at no charge by contacting us. You may withdraw consent to electronic communications by closing your account, which ends your use of the Service.

You may create or manage a record for a child, family member, or another person only when you have the legal authority or that person’s valid permission to do so. You are responsible for keeping that authority current and for stopping access when it ends.

Your signed-in account may add, change, export, or delete the records you manage. Kinjay does not grant another account access to your household records.

As between you and Happlace, you retain your rights in records and documents you submit. You grant Happlace a limited, non-exclusive license to host, copy, transmit, format, and otherwise process that content only as needed to provide, secure, support, and comply with law for the Service, consistent with our Privacy Policies and your choices.

You represent that you have the right to submit the content and that doing so does not violate another person’s privacy, confidentiality, intellectual-property, or other rights.

Happlace and its licensors own the Service, including its software, design, text, graphics, and the Kinjay name and logo, and all related intellectual-property rights. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own and your household’s personal, non-commercial record-keeping. All rights not expressly granted are reserved. You may not copy, resell, frame, or commercially exploit the Service, or use Kinjay names, logos, or trademarks without our prior written permission. If you send us feedback or suggestions, we may use them without obligation to you; feedback does not include your records.

When you choose to extract results from a lab report, Kinjay sends it to disclosed external AI-processing providers to identify text and numbers. The result is an untrusted draft and may be inaccurate, incomplete, or assigned to the wrong field. You must compare it with the original document and confirm or correct it before saving extracted results.

Agreeing to AI transcription is required to use Kinjay; we do not offer a version of the Service without it. Transcription runs only when you choose to extract results from a specific report. You may upload and privately store a report without extracting it, or enter results manually. Withdrawing your AI approval ends access to signed-in Kinjay features until you grant it again. AI transcription is not medical interpretation or advice.

Only your signed-in account can access the household records you manage in Kinjay. You may print or save a PDF or download a source document and provide that file yourself. Happlace cannot revoke or control copies once they leave the Service. Review exported files before sharing them.

You may not use the Service to:

• access, alter, or disclose records without authorization;
• impersonate another person or misrepresent your authority over their records;
• upload malware or interfere with the Service or its security;
• probe, scrape, reverse engineer, or automate access without our permission;
• use Kinjay to provide unlawful medical, insurance, employment, or other services; or
• violate applicable law or another person’s rights.

Kinjay may offer free and paid features. Before purchase, we will disclose the price, billing interval, automatic-renewal terms, cancellation method, refund terms, and what happens on downgrade. You may cancel through the online billing controls provided with your subscription. Ending a paid subscription does not waive your ability to access, export, or request deletion of your records as described in our policies.

The Service relies on providers for hosting, authentication, storage, security, communications, payments, and optional document transcription. Their services may be governed by separate terms. Happlace remains responsible for its own promises and legal obligations but cannot guarantee that third-party services will always be available or error-free.

We may add, change, or remove features of the Service as it develops. If we remove a feature you pay for, or discontinue the Service, we will give reasonable advance notice where practicable, an opportunity to export your records, and any refund required by law or by the subscription terms shown at purchase.

You may stop using Kinjay at any time. You can save records as PDFs and delete individual entries and people using controls in the Service. Less common requests, including deleting your entire account or household, are handled by email at privacy@kinjay.com. We may restrict or suspend access when reasonably necessary to protect people or the Service, investigate misuse, comply with law, or enforce these Terms. Where practicable, we will provide notice and a reasonable opportunity to export records before a non-urgent termination.

Deletion removes information from active systems. If we keep backup copies, deleted information may remain in them for a limited time until they are overwritten. We may also keep records we must retain for billing, tax, fraud-prevention, security, dispute, or other legal purposes. The Privacy Policies describe these limits.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” HAPPLACE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, TRANSCRIPTIONS, RECORDS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.

Some jurisdictions do not permit certain disclaimers, so these limitations apply only to the extent permitted by law.

TO THE FULLEST EXTENT PERMITTED BY LAW, HAPPLACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $20 OR THE AMOUNT YOU PAID HAPPLACE FOR KINJAY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

This section does not limit liability that cannot lawfully be limited, and it does not limit rights available under applicable consumer-protection law.

To the extent permitted by law, you agree to indemnify and hold Happlace and its officers, employees, and agents harmless from third-party claims arising from records you submit without authority, your unlawful misuse of the Service, or your material violation of these Terms.

Please contact us first so we can try to resolve a concern informally. Except where applicable law requires otherwise, these Terms are governed by Texas law without regard to conflict-of-law rules, and disputes will be resolved in courts of competent jurisdiction in Williamson County, Texas.

We may update these Terms as the Service or law changes. Updated Terms take effect on the effective date shown above. For a material change, we will provide appropriate notice and request renewed acceptance when required. Our records preserve the Terms you accepted and when you accepted them.

These Terms, together with the Privacy Policy and Consumer Health Data Privacy Policy, are the entire agreement between you and Happlace regarding the Service and replace any prior agreements on that subject. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver.

You may not assign or transfer these Terms without our written consent. Happlace may assign them in connection with a merger, acquisition, reorganization, or sale of assets, subject to our Privacy Policies and applicable law. These Terms do not create rights for any third party, including people whose records you manage. Sections that by their nature should survive termination, including those on ownership, disclaimers, limitation of liability, indemnification, and governing law, survive.

We are not responsible for delay or failure to perform caused by events beyond our reasonable control, such as natural disasters, war, terrorism, civil unrest, labor disputes, government action, or failures of utilities, networks, or third-party hosting providers.
