Kinjay Terms of Service

These Terms of Service (“Terms”) form an agreement between you and Happlace LLC (“Happlace,” “we,” “us,” or “our”) for your use of the Kinjay website and web application (the “Service”). If you do not agree to these Terms, do not create an account or use the Service.
1. Eligibility and United States availability
Kinjay account features are intended only for people aged 18 or older in the United States. By creating an account, you represent that you are at least 18 and have legal capacity to agree to these Terms. Kinjay does not offer accounts to children.
2. What Kinjay does—and does not do
Kinjay stores, organizes, displays, and shares health records supplied by users. It can transcribe information from an uploaded report for a person to review and confirm.
Kinjay is not a healthcare provider, medical practice, health plan, emergency service, or substitute for a qualified healthcare professional. It does not diagnose, determine urgency, predict disease, recommend treatment or medication doses, or independently decide whether information is clinically normal, safe, improving, or worsening.
Do not use Kinjay as the sole source of information in an emergency or to make medical decisions. Contact emergency services or an appropriate healthcare professional when medical attention may be needed.
3. Accounts and security
You must provide accurate account information, protect your credentials and devices, and promptly notify us if you believe your account or a sharing link has been accessed without authorization. You are responsible for activity through your account to the extent permitted by law.
4. Records about other people
You may create or manage a record for a child, family member, or another person only when you have the legal authority or that person’s valid permission to do so. You are responsible for keeping that authority current and for stopping access when it ends.
Household owners and editors may add, change, share, export, or delete records according to their permissions. Invite only people who should have that access and review household membership regularly.
5. Your records and our limited license
As between you and Happlace, you retain your rights in records and documents you submit. You grant Happlace a limited, non-exclusive license to host, copy, transmit, format, and otherwise process that content only as needed to provide, secure, support, and comply with law for the Service, consistent with our Privacy Policies and your choices.
You represent that you have the right to submit the content and that doing so does not violate another person’s privacy, confidentiality, intellectual-property, or other rights.
6. AI-assisted transcription
When you choose to extract results from a lab report, Kinjay sends it to disclosed external AI-processing providers to identify text and numbers. The result is an untrusted draft and may be inaccurate, incomplete, or assigned to the wrong field. You must compare it with the original document and confirm or correct it before saving extracted results.
You may upload and privately store a lab report without requesting transcription. If you request transcription, it requires your separately recorded approval. You can also enter results manually without uploading a report. AI transcription is not medical interpretation or advice.
7. Invitations and public sharing links
Invitations and share links are access credentials. Anyone who receives a public link may be able to view the information made available by that link type without a Kinjay account until the link expires or is revoked. A recipient may copy, download, or further disclose information; Happlace cannot control copies made outside the Service. Review what the link exposes and the intended recipient before sharing, and revoke access when it is no longer needed.
8. Acceptable use
You may not use the Service to:
- access, alter, or disclose records without authorization;
- impersonate another person or misrepresent your authority over their records;
- upload malware or interfere with the Service or its security;
- probe, scrape, reverse engineer, or automate access without our permission;
- use Kinjay to provide unlawful medical, insurance, employment, or other services; or
- violate applicable law or another person’s rights.
9. Subscriptions
Kinjay may offer free and paid features. Before purchase, we will disclose the price, billing interval, automatic-renewal terms, cancellation method, refund terms, and what happens on downgrade. You may cancel through the online billing controls provided with your subscription. Ending a paid subscription does not waive your ability to access, export, or request deletion of your records as described in our policies.
10. Third-party services
The Service relies on providers for hosting, authentication, storage, security, communications, payments, and optional document transcription. Their services may be governed by separate terms. Happlace remains responsible for its own promises and legal obligations but cannot guarantee that third-party services will always be available or error-free.
11. Suspension, termination, export, and deletion
You may stop using Kinjay and may use available controls to export or delete records. We may restrict or suspend access when reasonably necessary to protect people or the Service, investigate misuse, comply with law, or enforce these Terms. Where practicable, we will provide notice and a reasonable opportunity to export records before a non-urgent termination.
Deletion from active systems may not immediately remove inaccessible backup copies or records we must retain for billing, tax, fraud-prevention, security, dispute, or other legal purposes. The Privacy Policies describe these limits.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” HAPPLACE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, TRANSCRIPTIONS, RECORDS, SHARING LINKS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.
Some jurisdictions do not permit certain disclaimers, so these limitations apply only to the extent permitted by law.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HAPPLACE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM THE SERVICE. OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $20 OR THE AMOUNT YOU PAID HAPPLACE FOR KINJAY DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
This section does not limit liability that cannot lawfully be limited, and it does not limit rights available under applicable consumer-protection law.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold Happlace and its officers, employees, and agents harmless from third-party claims arising from records you submit without authority, your unlawful misuse of the Service, or your material violation of these Terms.
15. Governing law and disputes
Please contact us first so we can try to resolve a concern informally. Except where applicable law requires otherwise, these Terms are governed by Texas law without regard to conflict-of-law rules, and disputes will be resolved in courts of competent jurisdiction in Williamson County, Texas.
16. Changes to these Terms
We may update these Terms as the Service or law changes. Updated Terms take effect on the effective date shown above. For a material change, we will provide appropriate notice and request renewed acceptance when required. Our records preserve the Terms you accepted and when you accepted them.
